Subleasing Terms of Use

1. Overview

These Subleasing Terms of Use ("STOU") govern your use of UniLet's payment facilitation features for sublease and lease takeover transactions. By creating or accepting a deal on UniLet, you agree to these terms in addition to UniLet's general Terms of Service and Privacy Policy.

UniLet is a peer-to-peer marketplace that facilitates transactions between students. UniLet is not a party to any sublease agreement, is not a property manager, and does not act on behalf of any landlord, property owner, or property management company. Money flows exclusively between students through our payment processor, Stripe. UniLet never transfers funds to any landlord or property manager.

2. Eligibility

To create or accept a deal on UniLet, you must:

(a) Have a verified .edu email account on UniLet;
(b) Have completed identity verification (KYC) through Stripe Identity;
(c) If you are the subleasor: have completed payout setup through Stripe Connect; and
(d) If you are the subtenant: have a valid payment method on file.

3. Platform Role and Limitations

UniLet provides the technology platform to facilitate sublease transactions. UniLet does not:

(a) Guarantee the outcome of any sublease arrangement;
(b) Verify the validity or authenticity of landlord approval documents;
(c) Manage, maintain, or inspect any property;
(d) Act as a landlord, property manager, or real estate broker;
(e) Hold, manage, or process security deposits;
(f) Mediate, arbitrate, or resolve disputes between parties;
(g) Transfer any funds to landlords, property owners, or property management companies; or
(h) Calculate, collect, or pursue amounts owed between the parties outside of the scheduled payments processed on the platform.

4. Fee Structure and Disclosure

A 7% platform fee is applied to each rent payment processed through UniLet. This fee is deducted from the subleasor's payout:

(a) The subtenant is charged the full rent amount agreed in the deal;
(b) The subleasor receives 93% of each payment;
(c) The remaining 7% is retained by UniLet as the platform fee; and
(d) Out of that 7%, Stripe retains 2.9% + $0.30 per transaction as their payment processing fee. This is paid from UniLet's portion, not charged separately to either party.

5. Non-Refundable Processing Fees

In the event of a refund, chargeback, or dispute, the Stripe processing fee (2.9% + $0.30) is non-refundable and will not be returned to either party. Both parties acknowledge and accept this by participating in a deal.

6. Subleasor Responsibilities

By creating a deal as a subleasor, you represent and warrant that:

(a) You have obtained written approval from your landlord or property manager to sublease the property;
(b) Any landlord approval documentation you upload is authentic, valid, and unaltered;
(c) You have the legal right to sublease the property under your existing lease agreement;
(d) All listing information (rent amount, dates, property details) is accurate and truthful; and
(e) You assume sole responsibility for the legitimacy of the landlord approval and the sublease arrangement.

UniLet is not responsible or liable for any consequences arising from unauthorized, fraudulent, or invalid sublease arrangements.

7. Landlord Approval Documentation

UniLet strongly recommends uploading your landlord's written approval to the deal. It gives you a record attached to the agreement, and it gives your subtenant reasonable assurance that the sublease is authorized.

Uploading documentation is not required to create a deal. Whether or not you upload it, the representations in Section 6 apply in full, including your representation that you have in fact obtained written approval from your landlord.

UniLet does not review, verify, or authenticate landlord approval documents. The presence of an uploaded document on a deal does not constitute verification, approval, or endorsement by UniLet, and should not be relied on as such by either party.

8. Subtenant Responsibilities

By accepting a deal as a subtenant, you acknowledge and agree that:

(a) You are responsible for independently confirming that the sublease is authorized by the landlord before moving in, whether or not approval documentation has been uploaded to the deal;
(b) You authorize UniLet to charge your payment method on each scheduled due date for the agreed rent amount, until that authorization is withdrawn under Section 10(e);
(c) You are responsible for ensuring sufficient funds are available on each payment date;
(d) Withdrawing your authorization for automatic charges, or cancelling a deal, does not reduce, waive, or settle rent you owe under your sublease agreement; and
(e) UniLet does not guarantee the condition, availability, or suitability of any property.

9. Security Deposits

UniLet does not hold, manage, process, or facilitate security deposit payments. Any security deposit arrangement is made entirely between the subleasor and subtenant outside of the UniLet platform. UniLet is not involved in and accepts no responsibility for security deposit disputes.

10. Payment Processing and Advance Notice

(a) Notice before every charge. UniLet sends the subtenant an email notice at least five (5) days before each scheduled charge. Where a deal is accepted fewer than five days before its first scheduled payment, that notice is sent at the time of acceptance instead. No scheduled charge is processed without prior notice;
(b) Payments are processed automatically on scheduled due dates through Stripe, unless a charge is placed on hold or automatic payments have been switched off under this Section;
(c) Payments on hold. If a cancellation request is open and unresolved on a deal when a payment falls due, that payment is not charged. It is marked as on hold and shown as such to both parties until the cancellation request resolves under Section 11;
(d) Overdue payments. A payment that falls due while automatic payments are switched off, or that a bank declines to authorize without additional verification, is marked overdue and shown to both parties. The subtenant may pay an overdue payment at any time from the deal page while the deal remains active. A payment marked overdue is a payment UniLet has not collected; it is not a statement by UniLet about what either party owes the other;
(e) Withdrawing authorization. The subtenant may switch off automatic payments at any time from the deal page. Doing so stops UniLet from charging their payment method. It does not cancel the deal, end the sublease, or reduce rent owed. Requesting cancellation as a subtenant switches off automatic payments at the same time;
(f) If a payment fails, the payment is marked failed and both parties are shown its status. UniLet does not automatically retry a failed charge;
(g) UniLet reserves the right to freeze funds and/or ban users for violations of these terms or the general Terms of Service; and
(h) Payout timing to subleasors is determined by Stripe's standard payout schedule, not by UniLet.

11. Cancellation Policy

(a) Either party may request cancellation of an active deal from the deal page at any time;
(b) Cancellation requires mutual consent. The other party has fourteen (14) days from the time of the request to accept or decline. Both parties are notified by email when a request is made, and the party who has not responded is sent a reminder partway through the response period;
(c) While a cancellation request is open and unresolved, scheduled payments on the deal are placed on hold and are not charged, as described in Section 10(c);
(d) If the other party accepts, the deal is cancelled and no further payments are processed;
(e) If the other party does not respond within fourteen (14) days, the deal is cancelled automatically and no further payments are processed. Because deals are resolved by a process that runs once daily, cancellation occurs at the first daily run at or after the fourteen-day mark. Not responding is not the same as declining;
(f) If the other party declines, the deal remains active. Payments held under Section 10(c) are released. Where the subtenant made the request, automatic payments remain switched off under Section 10(e) and released payments are marked overdue for the subtenant to pay manually. Where the subleasor made the request, released payments return to the normal schedule;
(g) A party may make one cancellation request per payment period on a given deal. After a request is declined, that party may request again once the next scheduled payment date has passed, or after thirty (30) days, whichever comes first;
(h) Cancellation ends the payment arrangement on UniLet only. It does not settle, waive, reduce, or determine any obligation between the subleasor and subtenant under their sublease agreement, including rent for any period already occupied. UniLet does not calculate, collect, or pursue amounts owed between the parties, and takes no position on what is owed. Any balance is resolved directly between the parties;
(i) UniLet does not mediate cancellation disputes. If mutual consent cannot be reached, parties should seek resolution independently or through small claims court; and
(j) Deals in "pending acceptance" status may be cancelled immediately by either party.

12. Dispute Resolution

UniLet does not arbitrate, mediate, or make rulings on disputes between parties. In the event of a dispute:

(a) Failed payments and chargebacks are handled by Stripe through their standard dispute resolution process;
(b) All other disputes are the sole responsibility of the parties involved;
(c) Parties may pursue resolution through small claims court or other legal channels;
(d) Optional move-in and move-out photo documentation is available through the platform and may be useful if disputes are escalated to court; and
(e) The payment history shown on a deal records only what UniLet did or did not process. It is not a determination of what either party owes the other.

13. Indemnification

By creating or accepting a deal on UniLet, you agree to indemnify, defend, and hold harmless UniLet, its founder(s), operators, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

(a) Your sublease arrangement, including any unauthorized sublease;
(b) Fraudulent, invalid, forged, or absent landlord approval documentation;
(c) Nonpayment of rent or failure to fulfill sublease obligations;
(d) Property damage, personal injury, or any other incident at the subleased property;
(e) Early termination of the sublease by either party;
(f) Violations of your original lease agreement;
(g) Disputes over security deposits handled outside the platform;
(h) Any eviction proceedings resulting from an unauthorized sublease; and
(i) Any violation of applicable local, state, or federal laws related to the sublease.

14. Limitation of Liability

UniLet's total liability to any party in connection with a deal shall not exceed the total amount of platform fees collected by UniLet in connection with that specific deal. UniLet shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

15. Modifications

UniLet reserves the right to modify these Subleasing Terms of Use at any time. Changes will be posted on this page with an updated "Last updated" date and version identifier. Continued use of the payment facilitation features after changes constitutes acceptance of the modified terms.

Each deal records the version of these terms in effect when the subtenant accepted it, and a deal continues under that version. Where a change affects how an existing active deal is processed, UniLet will notify both parties of that deal by email and will not apply the change to that deal until both parties have accepted the updated terms.
